These Terms of Use (“Terms”) govern your access to and use of the Wardient website (www.wardient.com), services, and associated platforms (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Acceptance of Terms

1.1. These Terms, including any supplemental policies or guidelines referenced herein, set forth the conditions for using the Services. Your use of the Services constitutes acceptance of these Terms, which are personal to you and non-transferable.

1.2. You are responsible for all activities under your account, including maintaining the confidentiality of your password. Notify Wardient immediately at info@wardient.com of any unauthorized account use.

1.3. Wardient may modify, suspend, or discontinue any part of the Services, including content or access requirements, at any time without notice.

2. Changes to Terms

2.1. Wardient reserves the right to update these Terms at any time. Changes are effective immediately upon posting on www.wardient.com or through other notification methods, such as email. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

3. Description of Services

3.1. The Services provide access to resources such as product information, communication tools, and downloadable content. Wardient may update or enhance these Services at its discretion, subject to these Terms.

4. Your Responsibilities

4.1. You are responsible for obtaining and maintaining all hardware, software, and connectivity required to access the Services, as well as any associated costs.

4.2. You agree to use the Services solely for lawful purposes. Prohibited actions include, but are not limited to:

8.1. Any software available through the Services is subject to a separate license agreement, if applicable. Unauthorized reproduction or distribution of such software is prohibited.

8.2. Documents (e.g., white papers, FAQs) may be used for personal, non-commercial purposes, provided you include all copyright notices. Educational institutions may use documents for classroom purposes, but broader distribution requires Wardient’s written consent.

8.3. Wardient provides software and documents “as is,” without warranties of accuracy, suitability, or fitness for any purpose.

9. Disclaimer of Warranties

9.1. The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2. Wardient does not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

10. Limitation of Liability

10.1. To the fullest extent permitted by law, Wardient, its affiliates, and their respective officers, employees, or agents will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the Services.

10.2. Wardient is not responsible for third-party content, errors, or omissions in the Services, or for losses resulting from reliance on such content.

10.3. In jurisdictions where liability limitations are restricted, Wardient’s liability is limited to the minimum required by law.

11. Third-Party Links

11.1. The Services may contain links to third-party websites not controlled by Wardient. Wardient is not responsible for the content, accuracy, or practices of these sites and provides links for convenience only.

11.2. Linking to a third-party site does not imply Wardient’s endorsement.

12. User Submissions

12.1. Wardient does not claim ownership of content you submit (e.g., feedback, posts), but by submitting, you grant Wardient a perpetual, royalty-free license to use, distribute, and modify such content in connection with the Services.

16.1. Neither party is liable for delays or failures to perform due to events beyond their reasonable control, such as natural disasters, war, or network failures. The affected party must notify the other within 15 days, and obligations will be suspended until the event resolves.

17. Governing Law

17.1. These Terms are governed by the laws of Lagos, Nigeria, without regard to conflict of law principles. Any disputes will be resolved in the courts of Lagos, Nigeria.

18. Miscellaneous

18.1. These Terms constitute the entire agreement between you and Wardient regarding the Services, superseding any prior agreements.

18.2. No waiver of any breach of these Terms will constitute a waiver of any other breach.

18.3. If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in effect.

18.4. Section headings are for convenience only and have no legal effect.

19.1. Wardient and its logos are trademarks of Wardient. All other trademarks are the property of their respective owners.
